Terms of service

These terms cover using this website and paying for a project through its checkout. They are between you and Stand-To Ventures, LLC, a Colorado limited liability company, doing business as Upstream Web Designs, referred to here as me or Upstream.

Your project agreement comes first. The work itself is governed by the project agreement you sign before a project starts. If anything on this page reads differently from that signed agreement, the signed agreement wins.

What I do

Website design, development, and maintenance services for small businesses, including e-commerce store setup.

I build on more than one platform, and which one a project uses is named in your agreement, because it changes what you own at the end and who pays the platform's own bill. In every case the account is yours, in your name, from the first day.

What this checkout is for

This checkout takes project payments: a deposit to start, a balance before launch, and any change order agreed in writing along the way. It does not sell products, subscriptions, or anything that ships.

Payments are processed on a secure payment page. I never see or store your card details.

Quotes and prices

Prices shown to you in a proposal or an agreement hold for that project. My standard rate is published on this site and can change for future projects, which never affects a project already agreed. Amounts are in United States dollars.

All fees are stated without tax. Website design and development are services and are generally not subject to Colorado state sales tax. You are responsible for any sales, use, or local tax that is lawfully due, and I add tax to an invoice only to the extent the law requires it.

Platform and third party costs

Your platform plan, your domain, and any paid apps, fonts, or stock photography are bought in your own name through your own accounts, so everything stays yours. I never bill you for them and I never mark them up. Those companies set their own terms, prices, and uptime, and I am not responsible for their outages or their changes.

What I need from you

Content you own, or have permission to use: photos, logos, reviews, and text
Access to the platform account while I build, which I step back from at launch
Feedback and approvals when I check in, so the project keeps moving

If I ask for a review or an approval and do not hear back within five business days, I send one reminder. If I still do not hear back, that piece counts as approved so the project can keep moving.

Revisions

Every project includes 2 rounds of revisions while we polish the site. A round means one set of feedback delivered together. Anything beyond that, or any new scope, is quoted in writing first and agreed before I start.

Standing behind the work

If something I built is not working right within 30 days of launch, I fix it at no charge. After that, ongoing edits are not included unless you would like a care plan.

Apart from that 30 day fix, the site is provided as is, and I disclaim all implied warranties including merchantability and fitness for a particular purpose. I do not warrant that a site will be error free or run without interruption.

Limits

Apart from the fix above, the most I am responsible for is refunding what you have paid me. I am not responsible for indirect losses such as lost profits, lost bookings, or lost data. I am genuinely confident this work helps a business, but I cannot promise a specific result such as a number of bookings or a dollar figure. Any figures I have shared are honest estimates, not guarantees.

Using this site

Please do not attempt to break into, overload, scrape at scale, or interfere with this site or the private project pages. The words, images, code, and design on this site are mine unless credited otherwise.

Refunds

See the refund policy. In short: the deposit is non-refundable because it reserves your place, and if a project stops partway you cover the value delivered with the deposit credited toward it.

Privacy

Changes to these terms

I may update this page. The version in force for your project is the one published when your agreement was signed, together with that agreement.

Law and disputes

These terms are governed by the laws of Colorado, and any dispute is handled in the state or federal courts in El Paso County, Colorado. If something comes up between us, please talk to me first. I would rather fix it than argue about it.
